Important Read Carefully:
This End User License Agreement is a legal agreement between you (either an individual or a single entity) and Found corp. (Found corp.) for the Found corp. Software accompanying this End User License Agreement, which includes computer software developed exclusively by the Found corporation and your company and also includes the "ObjectCode Framework", software which is licensed exclusively to Foundco clientele, and may include associated media, printed materials, and "online" or electronic documentation and information ("software product" and "software") produced for Foundco clients. By exercising your rights to use the software product and/or by accessing the online related information and documentation, you agree to be bound by the terms of this End User License Agreement. If you do not agree to the terms of this End User License Agreement, you may not use the software product.
SOFTWARE PRODUCT LICENSE.
The ObjectCode Framework is protected by copyright laws as well as other intellectual property laws and treaties. Objectcode is licensed, not sold, unless specifically authorized by Foundco agents. Foundco also creates software code that is sold for clients worldwide. All Software Products that are created for sale or licensed to individuals or corporations are bound by the terms of our end user license agreement.
Grant of license.
This End User License Agreement grants you the following rights: installation and use of custom software. You may install and use Foundco custom software and obtain online access to the related information and documentation. If custom software was produced for your organization you maintain full and exclusive rights to such software. The only software which Foundco sells licenses for is the Objectcode framework, which is distributed to Foundco clients via our Internal development platform, and the source code for which is only available upon request and approval. All other software products developed for Foundco clients will be delived upon completion by e-mail, SFTP, or secure copy when third party server environments are used. If the Foundco internal environment is used this software will be available for download upon request only. Clients maintain exclusive rights to all custom software and may use or resell such software at their complete discretion.
Reproduction and distribution.
You may not reproduce and distribute the ObjectCode framework product. If custom software was created for your company, you maintain exclusive rights to such software.
Description of other rights and limitations.
Limitations on reverse engineering, decompilation, and disassembly. You may not reverse engineer, decompile, or disassemble the software product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding its limitation. Found corp. reserves the right to choose advertising and strategic partners and to promote the goods and services of those partners in a manner consistent with state and federal law. In this process names and identities used for the express purpose of advertising and promotion may not represent actual persons. Found corp. makes no warranties regarding the advertised goods or services of third parties who may be advertised or promoted at Foundco.com.
Separation of components.
The Objectcode Framework is licensed as a single product. Its component parts, information, and services may not be separated for use on more than one computer. Custom software may be separated and reused at the client's discretion.
Software transfer.
You may not transfer, sell, give, or assign any of your rights under this End User License Agreement.
Termination.
Without prejudice to any other rights, Found corp. may terminate this End User License Agreement if you fail to comply with the terms and conditions of this End User License Agreement. In such event, you must destroy all copies of the Objectcode Framework and all of its component parts in your possession and abstain from further online access.
Copyright.
All title and copyrights in and to the Objectcode Framework (including but not limited to any documentation, images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Objectcode framework), the accompanying printed materials, and any copies of the software product are owned by Found corp. or its suppliers. The framework is protected by copyright laws; therefore you must treat the software product like any other copyrighted material.
NO WARRANTY
No warranties.
Found corp. expressly disclaims any warranty software it creates. Software product of any kind, including online access, and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of use or performance of the software products created by Foundco remains with you.
LIMITATION OF LIABILITY.
Found corp.' entire liability and your exclusive remedy under this End User License Agreement shall not exceed five dollars ($5.00).
NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
In no event shall Found corp. or its suppliers, advertisers, or clients be liable for any damages whatsoever (including, without limitation, damages for lost business opportunity, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use Found corp. Software Products, even if Found corp. has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
MISCELLANEOUS.
If you acquired this product in the United States, this End User License Agreement is governed by the laws of the state of Arizona.
If this product was acquired outside the United States then local laws may apply.
